These terms are a practical draft for YURUMI’s design, build, billing, portal, and hosting workflows. They are not final legal advice and should be confirmed with a legal professional before relying on them.
1. Who YURUMI is
YURUMI is operated by Lilly Blick as a Swedish sole trader. Org.nr: [confirm organisation number]. YURUMI provides digital design, UI/UX, brand, app and website build services, consulting, quotes, invoices, and optional hosting or maintenance services.
2. Quotes, scope, and work
Quotes describe the expected scope, deliverables, price, currency, VAT treatment, validity period, and any assumptions. Work begins when YURUMI confirms acceptance, scheduling, and any required deposit or payment arrangement. Changes outside the agreed scope may require a new quote or added fees.
3. Invoices, payment, VAT, and currency
Invoices are payable by the due date shown on the invoice, usually Net 30 unless otherwise agreed. Prices may be in SEK, EUR, USD, or GBP. VAT is handled according to Swedish and EU VAT rules, including Swedish VAT, EU reverse charge where a valid VAT ID is provided and verified, or export-of-services treatment outside the EU where applicable. The client is responsible for providing correct billing and VAT details.
4. Client portal use
The client portal may show quotes, invoices, billing details, current billing period information, subscriptions, and payment records. Clients are responsible for keeping account credentials secure, using the portal lawfully, and ensuring billing information is accurate. Access may be limited, suspended, or removed if misuse, security risk, or unauthorised access is suspected.
5. Hosting and maintenance
Where YURUMI hosts or maintains a client website or app, hosting may depend on third-party platforms, including Base44. Availability, platform limits, responsible use rules, and technical restrictions from those platforms also apply. Hosting fees and maintenance scope are defined in the relevant quote, plan, or invoice.

6. Immediate suspension or termination for legal, platform, or risk reasons
YURUMI may suspend and/or terminate all services immediately, including but not limited to hosting a client’s website or app, removing or disabling a hosted app, and ceasing work, if YURUMI becomes aware that the client’s app, content, business, or use violates Base44’s Terms & Conditions, Responsible Use or Acceptable Use Policy, or any other platform policy under which the app is hosted; involves illegal activity, fraud, money laundering, or financing of illegal activity; breaches applicable laws or sanctions; or otherwise exposes YURUMI to legal, regulatory, financial, security, reputational, or platform-account risk.
Where reasonable and lawful, YURUMI will notify the client. However, YURUMI may act without prior notice if required by law, platform rules, payment provider rules, or to limit risk. The client remains liable for fees due up to termination. In cases involving policy or legal violation, YURUMI has no obligation to refund prepaid amounts. Termination or suspension under this clause does not create liability for YURUMI for resulting loss, interruption, lost profits, or other damage to the client.
7. Client responsibilities
Clients must provide accurate information, own or have permission to use all supplied content, comply with applicable law, and avoid illegal, misleading, infringing, discriminatory, abusive, or harmful use of delivered work or hosted services.
8. Liability
To the maximum extent allowed by law, YURUMI is not liable for indirect loss, lost profits, business interruption, platform downtime, third-party service failures, or losses caused by client-provided content or instructions. YURUMI’s total liability should be limited to fees paid for the affected service during a reasonable period. [confirm liability cap with legal counsel].
9. Governing law and disputes
These terms are governed by Swedish law. The parties should first try to resolve disputes in good faith. If unresolved, disputes are handled by the competent Swedish courts unless mandatory law says otherwise.
10. Changes
YURUMI may update these terms when services, legal requirements, platform requirements, or business processes change. Material changes should be communicated where they affect active clients.
